Where to set up a business in Dubai?

Mainland vs. Free Zone

To register a company in Dubai, you must first decide whether you want to establish your business on the mainland or in a free zone. When considering new business setup in Dubai, location is an important consideration. Low-Cost Business Setup in Dubai is possible in one of Dubai’s many specialised free zones or on the mainland (sometimes referred to as onshore).

Dubai established the Jebel Ali Free Zone Authority (JAFZA) in 1985 as the first free zone in the UAE and the Middle East. It only began with 19 companies, but within a decade it had become the world’s first ISO-certified free zone. The JAFZA success story served as a model for several other free zones, each with its own set of strategic benefits and advantages.
Thousands of foreign individuals and institutions have successfully established branches or wholly owned companies in these free zones.

The UAE Commercial Companies Law was amended in 2021, allowing a foreigner, group of foreigners, or foreign company to have 100 percent fully owned businesses in the UAE, subject to certain conditions. The Dubai Government also announced that more than 1,000 commercial and industrial activities in the emirate would be 100 percent foreign owned.
As a result of these changes, some long-established businesses on the mainland are changing their ownership structure, while many others are establishing new businesses in Dubai.

Global Law is the best Business set up consultants in Dubai who can guide you setup your business in both the areas.

How to setup a business in Dubai / How to setup a business in Dubai Free Zone?

  • Select your economic zone – The Dubai Market is divided into three economic zones that are Mainland, Freezone and Offshore. Laws are different in each economic zone and each zone caters to different business needs. Depending on your business requirements select an economic zone.
  • Select your company’s legal form – If you need to apply for a business license in Dubai for business setup in Dubai, you need to decide on your company’s legal form. Legal forms may be Limited Liability Company, civil company, Foreign Branch Company, Freezone Company branch etc.
  • Get your company name and activity approved – To start your business in Dubai, you need to get your company activity and name approved from Department of Economic Development (DED). Once this is approved, you will have to apply for your Dubai Trade license and open your business in Dubai.
  • Share capital – The minimum share capital is usually specified in your proposed company’s Memorandum of Association. In most cases, no minimum capital is required at the time of establishment.
  • Office Space – Once you’ve completed your legal procedures and forms, it’s time to shortlist some offices and get pricing and other information. Once your legal formalities are completed, you will have a clear path forward. In free zones, you can get help finding suitable premises as well as setting up electricity, internet, water, and other amenities.
  • Employees – Most DED legal forms require you to hire a manager to oversee operations and have him ready to go before your registration is approved. However, in some cases, you may not be able to hire at all. For example, Intelaq licence holders (home-based Emirati business owners) are not permitted to hire employees but may hire contractors.

For free zones, each zone has its own set of rules governing business structure.

  • Local support– For DED licences, it is required to have a local agent, partner, or sponsor, which is a huge support for foreign nationals. Having a local contact in a free zone can help move the business forward effectively. This is not required, however, and Dubai, as a business destination, boasts easy setup for all businessmen, regardless of nationality.
  • Apply for Dubai Trade license – There are four types of business licenses to setup a business in Mainland Dubai, they are, Commercial License, Industrial License, Professional License and Tourism License. However the licensing structure for Dubai Freezone is difference and solely depends on your company’s business activity.
  • Business Registration – This is simultaneous with the licensing of your business, you need to get all the relevant documents approved from various government authorities as specified by Department of Economic Development (DED) and for Freezone as per the regulations of each zone.
